Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and ResaleSonar ("ResaleSonar", "we", "us", or "our") governing your access to and use of the ResaleSonar website, application, and related services (together, the "Service"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" includes that business.

To use most features you must create an account. You agree to provide accurate information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity that happens under your account. We support additional protections such as multi-factor authentication and we encourage you to enable them, see our security page for how we protect your data. Notify us promptly if you suspect unauthorized use of your account.

2. Description of the service

ResaleSonar is a self-serve, multi-site resale price tracker and comparable-market-intelligence tool for resellers. You add your own products and marketplaces; nothing is pre-seeded. The Service collects publicly available listing data on demand, finds condition-graded comparables, and reports a market median only when there is genuine underlying data to support it.

Honesty is a design principle, not a marketing line. When there isn't enough real data to stand behind a number, the Service will say so, for example "no market yet", rather than fabricate one. The Service also works to suppress resale noise such as suspected counterfeits, installment/BNPL prices mistaken for the real price, and wrong-condition or outlier listings. We may add, change, or remove features over time. We may also impose or adjust limits on the Service (for example, the number of tracked sites, products, or seats) consistent with your plan.

3. Subscription plans and billing

The Service is offered on paid subscription plans. Current plans and their published prices are:

Each plan includes defined limits on tracked sites, products, and team seats. Those limits are enforced by the Service. If you need higher limits, you can upgrade your plan or contact us about a Custom plan.

Renewal and payment

Unless otherwise agreed in writing, subscriptions are billed in advance and renew automatically at the end of each billing period at the then-current rate for your plan. By subscribing, you authorize us and our payment processor to charge your payment method on each renewal until you cancel. You are responsible for keeping a valid payment method on file. Prices are stated exclusive of taxes unless noted; you are responsible for any applicable taxes.

Cancellation and refunds

You may cancel your subscription at any time from your account settings or by contacting us. Cancellation stops future renewals; it takes effect at the end of your current paid billing period, and you keep access until then. Except where required by law or expressly stated otherwise, payments are non-refundable and we do not provide prorated refunds for partial billing periods.

Changes to pricing

We may change plan prices or plan features. If we change the price of a plan you are on, we will give you reasonable advance notice, and the new price will apply from your next renewal. If you don't agree to a price change, you may cancel before it takes effect.

4. Acceptable use

You agree to use the Service only for lawful purposes and in line with these Terms. You must not:

• Use the Service, or any data it produces, for any illegal purpose or in violation of any applicable law or third-party right.
• Attempt to overload, disrupt, reverse engineer, decompile, or gain unauthorized access to the Service or its infrastructure.
• Scrape, crawl, or bulk-extract data from the Service itself, or use bots or automated means to access the Service outside of any interfaces we officially provide, or resell the Service's output as if it were your own data product.
• Circumvent or attempt to circumvent plan limits, rate limits, authentication, or other technical or usage restrictions.
• Upload or transmit malware, or use the Service to infringe intellectual property, harass others, or misappropriate confidential information.
• Use the Service in a way that causes us to violate the terms, rate limits, or policies of any third-party marketplace or data source.

You are responsible for your own compliance with the terms of any marketplace you track and with all laws that apply to your reselling business. We may suspend or terminate access for conduct that we reasonably believe violates this section.

5. Your content and data

You retain ownership of the products, marketplaces, notes, settings, and other information you add to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Your Content solely to operate, maintain, secure, and improve the Service for you, and as otherwise described in our privacy policy.

You represent that you have the rights necessary to submit Your Content and that doing so does not violate any law or third-party right. We may use aggregated or de-identified data that cannot reasonably be linked back to you or your business to operate and improve the Service.

6. Intellectual property

The Service, including its software, design, text, and branding, is owned by ResaleSonar or our licensors and is protected by intellectual property laws. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. We reserve all rights not expressly granted. "ResaleSonar" and our logo are our marks; you may not use them without our prior written permission.

7. Third-party marketplaces and data accuracy

The Service collects and displays information from third-party marketplaces such as eBay, StockX, GOAT, The RealReal, Chrono24, Fashionphile, and Mercari, among others. ResaleSonar is not affiliated with, endorsed by, or sponsored by any of these marketplaces, and their names and trademarks belong to their respective owners.

Marketplace data changes constantly and can be incomplete, delayed, or wrong at the source. While we work to suppress obvious noise and to only surface a market number when the underlying data supports it, we do not warrant that any price, median, comparable, or availability figure is accurate, complete, or fit for a particular decision. 8. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data or output will be accurate or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

9. Limitation of liability

To the maximum extent permitted by law, ResaleSonar and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost sales, lost data, or business interruption, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ResaleSonar and its owners, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service; (c) your violation of these Terms or of any law; or (d) your violation of the terms or rights of any third-party marketplace or other third party.

11. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we are required to by law, or if we reasonably believe your use poses a risk to the Service, to us, or to others.

On termination, your right to use the Service ends. We may delete Your Content after termination, subject to our privacy policy and applicable law. Sections that by their nature should survive termination: including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms with a new effective date or contacting you. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which ResaleSonar is established, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located there for any dispute that is not otherwise subject to an alternative dispute-resolution process. These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there. ResaleSonar is a service operated by Your Growth Partner LLC, a Wyoming limited liability company. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the laws of your place of residence.
